Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the bsp.vn website and any services provided by BSP Software Services Corp. (“BSP”, “we”, “us”). By using our website or engaging our services, you agree to these Terms. If you use the website on behalf of a company, you confirm that you have authority to bind that company.

If you and BSP sign a separate agreement, such as a Master Services Agreement or Statement of Work, that agreement prevails over these Terms where they conflict.

2. Our Services

BSP provides custom software development, web and mobile application development, AI and machine learning solutions, dedicated development teams, quality engineering, and hands-on AI training programs. Descriptions on this website are for general information and do not by themselves create a binding offer.

3. Use of the Website

You agree to use the website lawfully and not to:

• violate any applicable law or regulation;
• attempt to gain unauthorized access to our systems, accounts, or networks;
• introduce malware, or interfere with or disrupt the website or its security;
• scrape, copy, or reuse website content in bulk without written permission; or
• submit false, misleading, or infringing information.

4. Project Engagements

Each software or AI project is governed by a written agreement or Statement of Work (“SOW”) that defines scope, deliverables, timeline, team, fees, and acceptance criteria. Estimates given before a signed SOW are non-binding. Changes to scope must be agreed in writing and may affect the timeline and fees.

5. Training Programs

Our AI training programs run for the duration, group size, and location stated in the confirmed registration or proposal. Participants are expected to attend scheduled sessions and complete assigned project work. Training materials, datasets, and computing resources are provided for the participants’ learning and may not be redistributed without our written permission. Fees, rescheduling, and cancellation terms are set out in the proposal or registration agreement. We do not guarantee any specific job or business outcome from training.

6. Fees and Payment

Fees, currency, invoicing schedule, and payment terms are set out in the applicable SOW or proposal. Unless stated otherwise, fees exclude taxes, which you are responsible for. Overdue amounts may be subject to late-payment interest, and we may suspend work until payment is received, after giving notice.

7. Client Responsibilities

To help us deliver on time, you agree to provide timely access to information, systems, test data, decisions, and feedback; to review and accept deliverables within the agreed period; and to make sure you have the rights to any materials, data, or third-party components you give us.

8. Intellectual Property

• Our website and materials. The BSP name, logo, website, content, and training materials belong to BSP or its licensors and are protected by intellectual property laws.
• Client deliverables. Unless the SOW states otherwise, ownership of custom deliverables created specifically for you transfers to you upon full payment of the applicable fees.
• Pre-existing and reusable materials. BSP keeps ownership of its pre-existing tools, libraries, frameworks, know-how, and general methods, and grants you a non-exclusive, perpetual license to use them as part of the deliverables.
• Third-party and open-source software. These remain subject to their own licenses, which will be identified on request.
• Your materials. You keep ownership of the data and materials you provide, and grant BSP the right to use them only to deliver the services.

9. Confidentiality

Each party will keep the other’s non-public business, technical, and financial information confidential, use it only for the purposes of the engagement, and disclose it only to people who need to know and are bound by similar obligations. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law. These obligations continue after the engagement ends. A separate NDA can be signed on request.

10. AI-Related Services

AI and machine learning outputs are probabilistic and may contain errors. You are responsible for reviewing AI-generated results before relying on them in business, legal, medical, or financial decisions. We will not use your confidential data to train models for other clients without your written permission.

11. Warranties and Disclaimers

We perform services with reasonable skill and care in line with the agreed SOW. Except as expressly stated in a written agreement, the website and services are provided “as is” and “as available”, and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted or error-free.

12. Limitation of Liability

To the fullest extent permitted by law, BSP is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. BSP’s total liability arising out of an engagement is limited to the fees you paid to BSP for the services giving rise to the claim in the twelve (12) months before the event. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or willful misconduct.

13. Indemnification

You agree to indemnify and hold BSP harmless from third-party claims arising from materials, data, or instructions you provide that infringe third-party rights or violate the law, or from your misuse of the deliverables or the website in breach of these Terms.

14. Term and Termination

Either party may terminate an engagement as provided in the applicable agreement, including for uncured material breach after written notice. You will pay for services performed and expenses incurred up to the termination date. Provisions that by their nature should survive termination, including payment, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law, will continue to apply. We may suspend or block access to the website if you violate these Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam. The parties will first try to resolve any dispute through good-faith negotiation. If it cannot be resolved within thirty (30) days, the dispute will be submitted to the competent courts in Ho Chi Minh City, Vietnam, unless a signed agreement provides for another forum, such as arbitration.

16. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date shows the latest revision. Continued use of the website after changes take effect means you accept the updated Terms. Changes do not affect agreements already signed.
